The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
For the purposes of these Terms and Conditions:
1.1. “Licensee” means the individual or entity that has purchased a license to use Proper Plan.
1.2. “Licensor” means the individual or entity that owns the copyright to Proper Plan and is making Proper Plan available for use by Licensee under the terms of this Agreement.
1.3. “Proper Plan” means the Excel workbook for project planning, including any updates or modifications to the workbook, that Licensee has licensed from Licensor under this Agreement.
1.4. “Effective Date” means the date on which Licensee purchases a license to use Proper Plan.
1.5. “Term” means the period during which Licensee is licensed to use Proper Plan, as set forth in Section 2 of this Agreement.
1.6. “Territory” means the geographic area in which Licensee is licensed to use Proper Plan, as set forth in Section 2 of this Agreement.
1.7. “General Terms and Conditions” means the General Terms and Conditions for the use of www.projectsandprograms.com found here: https://projectsandprograms.com/terms-conditions/
2.1. License Grant. Subject to the terms and conditions of this Agreement, Licensor grants to Licensee a non-exclusive, non-transferable, limited license to use Proper Plan during the Term.
2.2. Restrictions. Licensee may not copy, distribute, sell, or transfer Proper Plan or any portion thereof, other than via normal sharing of the plan with other project team members and client stakeholders. Licensee may not modify existing worksheet structure or formulas. Any such modification would invalidate any support agreement entered into between Licensee and Licensor. Licensee may not reverse engineer, decompile, or disassemble Proper Plan or attempt to derive the source code of Proper Plan. Licensee may modify content and insert and delete rows as per instructions provided, in the normal use of the product. Licensee may also add other worksheets as desired and can reference existing worksheet content therein.
2.3. Ownership. Proper Planner and all intellectual property rights therein are and shall remain the property of Licensor.
3.1. Term. This Agreement shall commence on the Effective Date and shall continue for the period purchased.
4.1. The nature of the license granting is such that there is no way to revoke the license and prevent use of Proper Plan for the period for which it has been purchased. The license is purchased on the condition that it is non-refundable. The Free Trial period is a mandatory step in the license purchasing process, to enable full evaluation of the product prior to purchase.
5.1. Proper Plan is provided “as is” without warranty of any kind, either express or implied, including, without limitation, any warranty of merchantability, fitness for a particular purpose, or non-infringement.
5.2. Licensor does not warrant that Proper Planner will meet Licensee’s requirements or that the operation of Proper Plan will be uninterrupted or error-free.
5.3. Licensor shall have no liability to Licensee or any third party for any damages arising out of or in connection with the use of Proper Planner.
6.1. Entire Agreement. This Agreement combined with the General Terms and Conditions constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or understandings, whether oral or written, relating to such subject matter.
6.2. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
